The terms that govern access to and use of Strata, an artificial-intelligence workplace assistant.
These Terms of Service (these “Terms”) govern access to and use of Strata, an artificial-intelligence workplace assistant (the “Service”), provided by Cypher Capital Technology L.L.C. (“MOSAIC”, “we”, “us” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and “you” refers to both you individually and that organisation.
These Terms should be read together with the Strata Privacy Policy referenced in Section 6, which forms part of these Terms.
Strata is an artificial-intelligence workplace assistant that integrates with Google Workspace (including Gmail, Calendar, Drive and Meet) and other authorised tools, including Notion, Twenty CRM, Telegram and Slack, to provide meeting intelligence, calendar and meeting preparation, action-item tracking, drafting and communication assistance, and related workplace productivity features (together, the “Service”). MOSAIC may add, change, suspend or discontinue any feature of the Service at any time.
The Service is available to individuals who are (a) at least 18 years old, and (b) authorised by MOSAIC to use the Service in connection with their role. This authorisation may be granted through a mosaicsolutions.ai account.
You must access the Service only through the organisational account through which you were authorised, keep your credentials confidential, and promptly notify us at support@mosaicsolutions.ai of any unauthorised use of your account. MOSAIC may suspend or revoke your access to the Service at any time, including on the end of your authorisation, role or engagement with the Group.
You must use the Service only for legitimate business purposes connected to your authorised role, and in compliance with these Terms, the Privacy Policy, and applicable law. You must not:
As between you and MOSAIC, MOSAIC and its licensors own all right, title and interest in and to the Service, including its software, models, workflows, documentation and trademarks. Subject to your compliance with these Terms, MOSAIC grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your authorised business purposes. No other rights are granted by implication, estoppel or otherwise.
You retain all rights in the content and data you submit to, or generate through, the Service (“Your Content”). You grant MOSAIC the licence necessary to host, process and use Your Content to provide, maintain, secure and improve the Service, subject to and consistent with the Privacy Policy, including its commitment that MOSAIC does not use your content to develop, train or improve generalised artificial-intelligence models.
MOSAIC's collection, use, storage and sharing of personal data in connection with the Service, including personal data accessed through Google APIs, is described in the Strata Privacy Policy, available at cypher.strata.mosaicsolutions.ai/privacy and incorporated into these Terms by reference. By using the Service you acknowledge the practices described in that Privacy Policy.
The Service integrates with third-party services, including Google APIs (Gmail, Calendar, Drive and Meet), Notion, Twenty CRM, Telegram and Slack, to provide its features. Your use of Google user data accessed through the Service is governed by the Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements. Your use of any other third-party service connected to the Service is also subject to that provider's own terms and policies. MOSAIC is not responsible for the availability, content, security or practices of third-party services, and connecting a third-party service to the Service is at your own discretion and, where required, subject to your organisation's authorisation.
THE SERVICE, INCLUDING ANY ARTIFICIAL-INTELLIGENCE-GENERATED OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OPERATION.
OUTPUT GENERATED BY THE SERVICE MAY BE INACCURATE OR INCOMPLETE, DOES NOT CONSTITUTE PROFESSIONAL ADVICE, AND MUST BE REVIEWED AND VERIFIED BY YOU BEFORE YOU RELY OR ACT ON IT, INCLUDING BEFORE ANY MESSAGE, RECORD OR DOCUMENT IS SENT OR CREATED ON YOUR BEHALF THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF MOSAIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This Section 9 does not limit liability that cannot be excluded or limited under applicable law, including for gross negligence, wilful misconduct or fraud.
These Terms apply for as long as you access or use the Service. MOSAIC may suspend or terminate your access to the Service at any time, with or without notice, including if your authorisation to use the Service ends, if you breach these Terms, or if MOSAIC discontinues the Service. Sections 5 (Intellectual Property), 6 (Data Handling and Privacy), 8 (Disclaimers), 9 (Limitation of Liability) and 12 (Governing Law) survive any termination or expiry of these Terms.
MOSAIC may update these Terms from time to time. Where a change is material, we will provide reasonable notice before it takes effect. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.
These Terms, and any matter arising out of or in connection with them (including non-contractual disputes), dispute, difference, controversy or claim arising out of or in connection with this contract, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre (“the DIFC Courts”).
These Terms, together with the Privacy Policy, constitute the entire agreement between you and MOSAIC regarding the Service and supersede any prior agreements or understandings on this subject. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. MOSAIC's failure to enforce a provision is not a waiver of its right to do so later. You may not assign these Terms without MOSAIC's prior written consent; MOSAIC may assign these Terms in connection with a merger, acquisition, reorganisation or sale of assets.
